01 Acceptance of Terms

By accessing or using the NEOM Coin platform ("Platform"), you agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this Platform.

These Terms constitute a legally binding agreement between you and NEOM Coin (operating through its registered entity). We reserve the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

02 Eligibility

To use the NEOM Coin Platform, you must meet all of the following requirements:

• Be at least 18 years of age or the legal age of majority in your jurisdiction, whichever is higher
• Have the legal capacity to enter into a binding contract
• Not be a resident of a jurisdiction where digital asset trading or investment is prohibited
• Not be subject to sanctions by the UN, EU, US OFAC, or any other relevant authority
• Provide accurate, complete, and current information during registration
• Successfully complete our KYC verification process before withdrawing funds

We reserve the right to restrict access to users from specific jurisdictions at our sole discretion, including but not limited to: the United States, Canada, China, and any FATF-blacklisted jurisdictions.

03 Your Account

When you create an account on the Platform, you are responsible for:

• Maintaining the confidentiality of your login credentials and two-factor authentication codes
• All activities that occur under your account
• Immediately notifying us of any unauthorized use of your account
• Keeping your registered email address and contact details current and accurate
• Not sharing your account with any other person
• Securing your personal device used to access the Platform

You may only hold one account on the Platform. Creating multiple accounts for the purpose of circumventing limits, exploiting referral programs, or any other prohibited purpose will result in immediate termination of all associated accounts and forfeiture of any pending balances.

04 Platform Services

NEOM Coin provides a virtual mining platform where users deploy digital workers across a city-tier network to earn NEOM token returns. Our services include:

• City-based virtual mining plans with defined ROI periods
• NEOM Coin wallet and token management
• P2P NEOM token transfers between registered users
• Daily login streak rewards and referral programs
• Residency pathway qualification tracking and application support
• 24/7 customer support through in-platform live chat

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time with reasonable notice. We are not liable for any losses resulting from service interruptions caused by maintenance, security incidents, or force majeure events.

05 Mining Plans & Returns

NEOM Coin offers structured mining plans with defined investment periods and projected return rates:

• Starter Plan: Minimum 500 NEOM, 65% ROI over 30 days (2.17% daily)
• Professional Plan: Minimum 2,500 NEOM, 100% ROI over 45 days (2.22% daily)
• Enterprise Plan: Minimum 25,000 NEOM, 130% ROI over 60 days (2.17% daily)

Partial withdrawals of accumulated returns are available after 24 hours of plan activation. Full capital plus returns are available upon plan completion. Early termination of a plan may result in reduced returns.

06 NEOM Residency Program

The NEOM Coin platform offers a residency pathway program that connects qualifying NEOM holders with Saudi Arabia's Premium Residency (Iqama) program and NEOM city access initiatives. Important terms:

• Residency eligibility is determined by NEOM and Saudi Arabian authorities — NEOM Coin facilitates the process but does not guarantee approval
• Qualifying NEOM holdings must be verified and maintained for the specified holding period
• All residency applications are subject to standard Saudi Arabian immigration requirements
• Residency program fees, application fees, and immigration costs are separate from mining plan investments
• NEOM Coin does not provide legal immigration advice — consult a licensed immigration attorney
• Program terms may change in alignment with NEOM project developments and Saudi Arabian government policy

07 Payments, Deposits & Withdrawals

All transactions on the Platform are governed by the following:

• Deposits must be made in accepted cryptocurrencies or through approved fiat payment methods
• Minimum deposit amounts apply per mining plan (see Section 5)
• Withdrawal requests are processed within 24–72 hours of submission
• KYC verification must be completed before any withdrawal is processed
• Withdrawal fees may apply depending on the chosen withdrawal method and amount
• NEOM reserves the right to delay withdrawals pending security verification or regulatory review
• All transactions are final once confirmed on the blockchain — we cannot reverse confirmed transactions

We are not responsible for losses arising from incorrect wallet addresses, failed transactions due to network congestion, or third-party payment processor errors.

08 Prohibited Activities

You agree not to engage in any of the following activities on or through the Platform:

• Creating multiple accounts or using automated bots to exploit rewards systems
• Money laundering, terrorist financing, or any other illegal financial activity
• Using the Platform to process funds derived from criminal activity
• Attempting to hack, reverse-engineer, or compromise the Platform's security
• Impersonating other users, staff, or NEOM Coin representatives
• Spreading false information about the Platform, NEOM Coin, or mining returns
• Engaging in coordinated pump-and-dump schemes or market manipulation
• Using VPNs or other means to circumvent geographic restrictions
• Providing false KYC information or fraudulent identification documents
• Violating any applicable local, national, or international law or regulation

Violation of any of the above may result in immediate account suspension, forfeiture of balances, and reporting to relevant law enforcement authorities.

09 KYC & AML Compliance

NEOM Coin is committed to full compliance with applicable Know Your Customer (KYC) and Anti-Money Laundering (AML) regulations. By using the Platform, you agree to:

• Submit accurate and genuine identity documents when requested
• Cooperate with enhanced due diligence requests for high-value transactions
• Understand that we may freeze accounts pending KYC review or suspicious activity investigation
• Accept that failure to complete KYC will result in inability to withdraw funds
• Allow us to report suspicious activity to relevant financial intelligence units as required by law

10 Intellectual Property

All content on the Platform — including but not limited to logos, design, text, graphics, software, and the city-tier mining algorithm — is the exclusive intellectual property of NEOM Coin and is protected by applicable copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any Platform content without our prior written consent. The NEOM Coin name, logo, and branding may not be used in connection with any other product or service without authorization.

11 Investment Risks

By using the Platform, you acknowledge and accept the following risks:

• Market Volatility: The value of NEOM Coin and other digital assets can fluctuate dramatically
• Regulatory Risk: Changes in laws or regulations could impact the Platform's operations or your ability to withdraw funds
• Technology Risk: Blockchain technology carries inherent risks including smart contract bugs and network failures
• Liquidity Risk: There is no guarantee of a liquid market for NEOM Coins at any given time
• Platform Risk: Technical failures, cyberattacks, or insolvency could affect the Platform
• Returns Not Guaranteed: Projected mining returns are estimates and not contractual guarantees
• No Government Protection: Digital assets are not insured by any government deposit protection scheme

NEOM Coin does not provide investment advice. Nothing on the Platform constitutes financial, legal, or tax advice. Consult a qualified financial advisor before investing.

12 Limitation of Liability

To the maximum extent permitted by applicable law, NEOM Coin and its officers, directors, employees, and partners shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from your reliance on any information on the Platform
• Losses from unauthorized access to or alteration of your account
• Losses arising from blockchain network failures or third-party service outages
• Losses from regulatory actions, government orders, or force majeure events

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amount you deposited in the 90 days preceding the event giving rise to the claim.

13 Account Termination

We reserve the right to suspend or permanently terminate your account at any time if:

• You breach any provision of these Terms
• We suspect fraudulent, illegal, or abusive activity on your account
• You fail to complete required KYC verification within the required timeframe
• Regulatory changes require us to restrict services in your jurisdiction
• Your account has been inactive for more than 12 consecutive months

You may close your account at any time by contacting support. Upon termination, any outstanding returns on active mining plans will be calculated to the termination date. Withdrawal of remaining balances is subject to successful KYC completion and compliance review.

14 Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NEOM Coin is registered. Any disputes arising under these Terms shall first be referred to mediation. If mediation fails, disputes shall be resolved through binding arbitration.

You agree to resolve any dispute on an individual basis only — you waive any right to participate in a class action lawsuit or class-wide arbitration against NEOM Coin.
